Subject to the terms of this Agreement, including but not limited to the Terms and Conditions of Sale, Supplier shall appoint Distributor as its exclusive distributor of products within the Territory, and Distributor hereby agrees to such appointment. The distributor undertakes not to market products through negotiators without the prior written consent of the supplier. In non-exclusive agreements, this short clause can be used to prohibit the distributor from delivering the products in reserved areas (see exclusivity above). The exclusivity clause in distribution agreements has been designed to take into account EU and UK competition rules on `vertical restraints`. All our distribution agreements contain optional “delivery terms”, which define the detailed conditions under which the products are delivered (e.g. B delivery obligations and transfer of danger and ownership). You can also add your own delivery terms as an appendix to the main distribution agreement.
